AGM status and post AGM voting

Following the outrageous assault on shareholder rights on Friday at the 2025 AGM, the Celtic Trust wrote yesterday to the Company Secretary, Joanne McNairn.  We have asked her to clarify why she was not available to provide an answer as  to why our Vice Chair was not allowed to move a procedural motion – the intention of that motion being to dispense with the videos to leave more time for questions (Note: the videos are routinely uploaded to the Celtic site and people are able to watch them at their leisure).  We further asked to to clarify the status of the 2025 AGM.  Amidst the chaos created by the shambolic chairing of the meeting, many shareholders/proxies were unaware that the Chair had barked out ‘call for a poll’ as he was rising from his seat.  Poll cards were collected by Computershare staff and the poll has been left open to 5pm on Tuesday 25/11/25 (ie tonight).

The poll had to be completed by scanning and uploading either your poll card or, if you had disposed of it, downloading one and adding your details.  It is unlikely that many people will do so and we anticipate very low voting figures.

We do not think that an AGM, at which no resolutions were proposed, debated and voted on is an adequate way to meet the rights shareholders hold to participate.  We will share any reply we receive from the Company Secretary.

By now most people will be aware of what happened at the AGM and the disgraceful post-AGM statements from the club.  We have also written to the CEO, Michael Nicholson and asked him to retract the allegation that ‘disruption’ was ‘organised by the GB and the Trust’.

We intend to follow up with some further queries as to the basis on which the son of one of the NEDS was allowed to take the platform to launch a vitriolic attack on supporters and shareholders, who, on a weekly basis, make financial and other sacrifices for the football club that we love.  To hear him call us bullies, the day after the club colluded with the police to abuse, intimidate and arrest a young man was simply too much for many of us to take in silence.  This arrest, which involved removing his door and leaving his medically vulnerable father in a house with no door having removed his only means of communication, was not for assault – it was a Breach of the Peace charge and he was released one hour later.

We know who ensured the disruption of the AGM and it was not anyone in the body of the hall.

UPDATE (21:22, 25/11/25)

The polling outcome of the AGM has been posted and we must now assume that the Board think that the AGM is complete.  We will be pursuing this matter and will be analysing the data over the next day or so.

  • Stop giving them your money!
    The people who are really destroying Celtic are the Board, Shylock Desmond and his son and those who readily get taken in by them. These people have their own interests at heart and care not a damn for any of the support. There is no gain without pain!
    If things do not change, as a season ticket holder, this will be my last season. I will not subsidise people who look down on those less fortunate than themselves and formulate untruths.

    I would like to say that on exiting the meeting on Friday we were told by people at the polling station that as no poll was called it was not required to submit our polling cards and therefore I expect that very few left their poll on being given this information.

    Is there any way to pursue this through the stock exchange for a lack of procedure and Governance .

      We are going to take advice on this and pursue the matter. We need to wait for the Company Secretary to reply but the announcement of the results today make it certain that they think the AGM is completed.

    The board and their treatment of fans and shareholders was an absolute disgrace.
    I think as part of the Celtic Collective, the CT should promote membership and monthly donations to join the CC and fund things to heighten the campaign to get rid of the board. Myself and many friends are retired shareholders with time on our hands and Celtic in our DNA. We are willing and able to help and contribute financially but have never been asked. The board make my skin crawl and we must do what we can to replace them.

  • I think the way the head of the board said before he was leaving the AGM was disgraceful towards his Share Holders and then left his son in charge was a kick in the teeth to his Shareholders and not forgetting the FANS that support the club who does this man think he is GOD, its the fans that pays his wages does he forget that.

    I can confirm ballot box staff outside No 7 overspill space refused to accept completed poll cards and we were informed another meeting would be arranged.

  • I gave my season book up in 2011/12 just as all the lies and corruption from Ibrox and the SFA was being exposed, dodgy 5 way agreements etc. I’ve never been back since. I am a shareholder and proxied my shares to the CT. Whilst it no surprise that all the resolutions were voted down, it amazes me that Celtic as a business don’t think it’s a good idea to have a 3-5 year strategic plan??
