Celtic PLC AGM – Urgent update for those shareholders wishing to vote/proxy their shares
Many of you will know that there have been problems with some shareholders being able to cast their votes or register their proxy for the 2025 Celtic PLC AGM which is due to take place on Friday 21 November at Celtic Park. Voting opened on 28/10/25 when the AGM papers were delivered by post or email to shareholders – of which Celtic has around 28000.
The Celtic Trust had publicised our voting intentions, including on a resolution expressing no confidence in the PLC Board and had, as normal, indicated how to proxy votes to the Trust. We advised those shareholders who appeared to be having difficulty to approach Computershare, the company’s Registrar, and at the beginning of this week we approached Computershare directly to ask what the issue was.
In an astonishing and profoundly shocking development, we have been advised this morning that this problem only applied to those shareholders who wished to proxy their vote to the Celtic Trust. We are told that the Computershare system rejected the word ‘Trust’ because the Companies Act does not allow companies or trusts (in the corporate sense) to act as proxy. We have been given no explanation as to why this problem has not arisen in the twenty five years that the Celtic Trust has been operating and engaging in Celtic PLC AGMs. Neither have we been told why it took so long for Computershare or Celtic PLC to identify this issue and how they intend to recover the integrity of the process.
We have now lost almost two weeks to try to get our vote out – a task which takes a lot of our time at this time of year. Furthermore, most Celtic shareholders are not experienced in these matters as Celtic shares are the only shares which they own. Many will have given up trying to vote already, having repeatedly been prevented from doing so by the Computershare system. Many people who vote for us regularly over the years will not see any updates and will simply do what they always do and not know why they can’t vote.
It is the responsibility of Celtic PLC to ensure that the rights of shareholders are protected. We have requested an urgent meeting with the Company Secretary, Joanne McNairn, at 9am on Monday morning (10th) to hear what Celtic PLC intend to do, if anything, about this matter.
In the meantime, if you wish to proxy your votes to the Celtic Trust please enter the following EXACT words/abbreviations in the appropriate box:

I’m more than happy to align my vote to the celtic trust but feel obstacles are being put in my way.

I did it online but have my vote to proxy with the AGM or Company representative what was in there before you write in a person or company’s name in is that ok? First time I’ve cast a vote at a AGM.
You can do that Joseph but if you don’t specify your voting preference the Chairman will cast as he sees fit. You can still change this if you need to. Email us at trust@celtictrust.net and we can help with that.

The AGM and Celtic FC Ltd are governed by FCA/Stock Market rules etc. Report the problem to the relevant authority and request an intervention to ensure all who are entitled to vote are indeed allowed to vote.

I have resubmitted my AGM share voting form to Computershare naming The Celtic Tst as my proxy, and had acknowlegements back for both submissions.
The Celtic Tst – Worked my vote proxied to the celtic trust –
I think/hope I have just completed the eproxy correctly.
Filled in the form as shown and seemed to go through but no confirmation as yet??
If you gave them an email address to send you a copy of your voting preferences you should have got it straight away. If you didn’t check that box then you won’t get separate confirmation of voting.
Can I change my proxy vote after I have already submitted by eproxy.
I voted in line with the trust but put down club chair.
If so how would I do it.
You can do it as many times as you like up to the deadline so yes you can resubmit if you wish.
